These Terms of Use (“Terms”) govern your access to and use of robo-care.com and any other Robocare webpage that links to these Terms (collectively, the “Site”). The Site is operated by Robocare Inc., a Delaware corporation (“Robocare,” “we,” “us,” or “our”).
Please read these Terms carefully. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Site.
If you access or use the Site on behalf of a company, institution, or other organization, you represent that you have authority to act on its behalf and to bind it to these Terms.
These Terms apply only to use of the Site. Any purchase, evaluation, research, validation, investment, employment, consulting, partnership, confidentiality, clinical-study, or other relationship with Robocare will be governed by any separate written agreement applicable to that relationship. If a signed written agreement conflicts with these Terms, the signed agreement controls with respect to its subject matter.
The Site provides general corporate, educational, technological, and business information about Robocare and its medical device platform under development.
The Site does not offer medical services, healthcare services, diagnosis, treatment, patient monitoring, emergency assistance, or clinical decision support. It is not a patient portal, telehealth service, medical-record system, or channel for submitting patient information.
The Site is provided for informational purposes only. Site content is not intended to constitute a representation, warranty, commitment, or guarantee concerning the final design, specifications, functions, performance, safety, effectiveness, regulatory status, commercial availability, price, or delivery date of any Robocare product.
Robocare is a medical device platform under development. The Robocare system has not received marketing authorization from the United States Food and Drug Administration (“FDA”) and is not available for commercial sale in the United States.
Product descriptions, demonstrations, photographs, videos, illustrations, renderings, prototypes, specifications, features, performance objectives, intended uses, regulatory strategies, development timelines, and anticipated benefits may change as development, testing, validation, manufacturing, human-factors activities, and regulatory review progress.
Images or demonstrations on the Site may depict prototypes, development-stage configurations, conceptual features, simulated use cases, or planned capabilities. They may not represent the final commercial product.

Subject to these Terms, Robocare grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable permission to access and use the Site for lawful personal, informational, or internal business-evaluation purposes.

The Site and its content including text, graphics, photographs, videos, animations, illustrations, renderings, product images, software, interfaces, designs, logos, trademarks, service marks, trade names, reports, data compilations, and other materials are owned by or licensed to Robocare and are protected by applicable intellectual-property and other laws.
“Robocare,” associated product names, logos, slogans, and design elements are trademarks or other proprietary identifiers of Robocare. They may not be used without prior written permission.
Nothing on the Site or in these Terms grants, by implication, estoppel, or otherwise, any license or right under any patent, patent application, copyright, trademark, trade secret, know-how, design right, or other intellectual-property right belonging to Robocare or another party.
The disclosure of information on the Site does not grant permission to manufacture, reproduce, test, market, distribute, commercialize, or otherwise use any Robocare technology or product.
All rights not expressly granted are reserved.
You may contact Robocare regarding legitimate business, research, regulatory, supplier, employment, investment, validation, partnership, or other professional matters.
Do not send medical records, patient names, diagnoses, treatment details, photographs, device-generated health data, government identification numbers, payment information, or other patient-identifiable or highly sensitive information through ordinary email, LinkedIn, or another unsecured channel connected to the Site.
Do not submit confidential, proprietary, or trade-secret information unless Robocare has first entered into a written confidentiality or nondisclosure agreement covering that information. The receipt of an unsolicited communication or material does not create a confidential, fiduciary, advisory, employment, partnership, investment, or other special relationship.
Any applicable signed confidentiality agreement will control over these Terms with respect to information covered by that agreement.
You represent that you have the right to send any materials you submit and that doing so does not violate another person’s intellectual-property, privacy, confidentiality, contractual, or other rights.
If you voluntarily provide general suggestions, comments, or feedback concerning the Site or Robocare, and the feedback is not governed by a separate written agreement, you grant Robocare a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, and incorporate that feedback for any lawful purpose without compensation or attribution. This provision does not transfer ownership of intellectual property you already own and does not override the Privacy Policy.
Robocare is not obligated to review, respond to, develop, return, preserve, or use any unsolicited submission.
Robocare’s collection, use, disclosure, retention, and protection of personal information associated with the Site are described in the Privacy Policy available on the Site.
By using the Site, you acknowledge that internet and email communications cannot be guaranteed to be completely secure. Please review the Privacy Policy before submitting personal information.
The Site may include links to third-party websites, social networks, publications, databases, service providers, or other resources. These links are provided for convenience and informational purposes only.
Robocare does not control and is not responsible for third-party content, availability, accuracy, privacy practices, security, products, services, or conduct. The inclusion of a link does not necessarily mean that Robocare endorses, sponsors, recommends, or is affiliated with the third party.
Your use of a third-party website or service is governed by that third party’s terms and policies and is at your own risk.
References to third-party organizations, products, research, standards, publications, market information, or technologies do not imply endorsement by Robocare or endorsement of Robocare by the referenced party unless expressly stated in writing.
Robocare may modify, update, suspend, restrict, or discontinue any part of the Site at any time without prior notice.

ROBOCARE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, FOUNDERS, AFFILIATES, ADVISORS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, AVAILABILITY, AND QUIET ENJOYMENT.
ROBOCARE DOES NOT WARRANT OR GUARANTEE ANY PRODUCT DEVELOPMENT OUTCOME, REGULATORY OUTCOME, CLINICAL OUTCOME, COMMERCIALIZATION DATE, PRODUCT PERFORMANCE, HEALTH BENEFIT, COST SAVING, MARKET RESULT, FINANCING RESULT, OR BUSINESS RESULT.
NO ORAL OR WRITTEN INFORMATION OBTAINED FROM THE SITE CREATES A WARRANTY, COMMITMENT, OR REPRESENTATION NOT EXPRESSLY SET FORTH IN A SIGNED WRITTEN AGREEMENT WITH ROBOCARE.
Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROBOCARE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, FOUNDERS, AFFILIATES, ADVISORS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATING TO:
TO THE FULLEST EXTENT PERMITTED BY LAW, ROBOCARE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
These limitations apply regardless of the legal theory asserted and even if Robocare has been advised of the possibility of damages. They do not exclude or limit liability that cannot lawfully be excluded or limited.
The limitations in these Terms apply only to the Site. Liability arising under a separate signed agreement concerning a product, study, service, or other relationship will be governed by that agreement.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Robocare and its officers, directors, employees, founders, affiliates, advisors, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising out of or relating to:
Robocare reserves the right to control the defense and settlement of a claim subject to indemnification. You agree to provide reasonable cooperation. You may not settle a claim in a manner that imposes liability, admissions, or obligations on Robocare without Robocare’s prior written consent.
Robocare may suspend or terminate your permission to access or use the Site if we reasonably believe that you have violated these Terms, created a legal or security risk, interfered with the Site, or engaged in unlawful or harmful conduct.
Upon termination, your right to use the Site ends immediately. Provisions that by their nature should survive termination—including provisions concerning intellectual property, submissions, disclaimers, limitations of liability, indemnification, and governing law—will survive.
These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-laws principles.
Subject to any non-waivable rights available under applicable law, you and Robocare agree that any legal action arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.
Nothing in these Terms limits any consumer-protection or other right that cannot lawfully be waived under the law applicable to you.
The Site is operated by Robocare Inc., a Delaware corporation. Robocare does not represent that Site content or future products are available or authorized in every jurisdiction. Access from outside the United States may be subject to local law.
You may not access, use, export, re-export, transfer or disclose Site content in violation of applicable export-control, sanctions or trade-restriction laws.
Robocare may update these Terms to reflect changes in the Site, our business, applicable law, or our practices.
When we update the Terms, we will post the revised version on the Site and change the Effective Date. Changes apply prospectively from the posted effective date unless otherwise stated or required by law.
Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, discontinue use of the Site.
These Terms and the Legal & Regulatory Disclaimer constitute the entire agreement between you and Robocare concerning use of the Site, except for any applicable separate signed agreement.
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
Robocare’s failure to enforce a provision is not a waiver of its right to enforce that provision later.
You may not assign or transfer your rights or obligations under these Terms without Robocare’s prior written consent. Robocare may assign these Terms in connection with a financing, merger, acquisition, reorganization, sale of assets, corporate restructuring, or operation of law.
These Terms do not create any partnership, joint venture, agency, employment, fiduciary, or franchise relationship between you and Robocare. There are no third-party beneficiaries to these Terms.
